INDEPENDENT CONTRACTOR AGREEMENT
This Independent Contractor Agreement (“Agreement”) is made on [DATE] between [CLIENT NAME] (“Client”), of [ADDRESS], and [CONTRACTOR NAME] (“Contractor”), of [ADDRESS].
1. Services. The Contractor shall provide the following services: [DESCRIPTION OF SERVICES] (the “Services”), as further described in any statement of work agreed by the Parties.
2. Independent Contractor. The Contractor is an independent contractor, not an employee, partner, or agent of the Client. The Contractor is responsible for their own taxes, insurance, and statutory contributions.
3. Compensation. The Client shall pay the Contractor [AMOUNT] per [hour / project / milestone]. Invoices are payable within [NUMBER] days. [Expenses reimbursed only if pre-approved in writing.]
4. Term and Termination. This Agreement begins on [START DATE] and continues until [END DATE / completion of the Services]. Either Party may terminate on [NUMBER] days’ written notice. The Client shall pay for Services performed up to termination.
5. Intellectual Property. All work product created by the Contractor in performing the Services shall be the exclusive property of the Client upon full payment, and the Contractor assigns all rights in it to the Client.
6. Confidentiality. The Contractor shall keep all Client confidential information private and use it only to perform the Services.
7. Warranties. The Contractor warrants that the Services will be performed in a professional and workmanlike manner and that the work product will not infringe any third-party rights.
8. Limitation of Liability. Except for breaches of confidentiality or IP obligations, neither Party’s liability shall exceed the total fees paid under this Agreement.
9. Governing Law. This Agreement is governed by the laws of [GOVERNING LAW / JURISDICTION].
10. Entire Agreement. This is the entire agreement between the Parties.
