MEMORANDUM OF UNDERSTANDING
This Memorandum of Understanding (“MoU”) is made on [DATE] between [PARTY A NAME] (“Party A”), of [ADDRESS], and [PARTY B NAME] (“Party B”), of [ADDRESS].
1. Purpose. The Parties wish to collaborate on [DESCRIPTION OF COLLABORATION] (the “Initiative”) and record their mutual understanding in this MoU.
2. Roles and Responsibilities. Party A shall: [RESPONSIBILITIES]. Party B shall: [RESPONSIBILITIES].
3. Contributions. Each Party shall contribute the following resources: [RESOURCES / FUNDING / PERSONNEL].

5. Non-Binding. Except for the sections on Confidentiality and Governing Law, this MoU is a statement of intent and is not legally binding. It does not create any enforceable obligation, exclusivity, or partnership. Any binding relationship will be set out in a separate definitive agreement.
6. Confidentiality. Each Party shall keep confidential any non-public information shared under this MoU.
7. Governing Law. This MoU is governed by the laws of [GOVERNING LAW / JURISDICTION].
