SALES & SERVICE AGREEMENT
This Agreement is made on [DATE] between [SELLER NAME] (“Seller”), of [ADDRESS], and [CUSTOMER NAME] (“Customer”), of [ADDRESS].
1. Products / Services. The Seller shall provide the Customer with the following: [DESCRIPTION OF GOODS OR SERVICES] (the “Offering”).
2. Price and Payment. The Customer shall pay [AMOUNT] for the Offering, per the following schedule: [PAYMENT TERMS]. All amounts are [exclusive/inclusive] of applicable taxes.
3. Delivery / Performance. The Seller shall deliver or perform the Offering by [DATE / SCHEDULE].
4. Acceptance. The Customer shall inspect and accept the Offering within [NUMBER] days; failing written rejection, it is deemed accepted.
5. Warranty. The Seller warrants that the Offering conforms to the agreed description and is free from material defects for [NUMBER] days / months. The Customer’s exclusive remedy for a valid warranty claim is [repair / replacement / refund].
6. Term and Termination. This Agreement continues until the Offering is fully delivered and paid for, or as otherwise stated. Either Party may terminate for material breach not cured within [NUMBER] days of notice.
7. Limitation of Liability. The Seller’s total liability shall not exceed the amount paid by the Customer for the Offering. Neither Party is liable for indirect or consequential damages.
8. Confidentiality. Each Party shall protect the other’s confidential information.
9. Governing Law. This Agreement is governed by the laws of [GOVERNING LAW / JURISDICTION].
10. Entire Agreement. This is the entire agreement between the Parties.
